M&As this week: Kutahya Porselen Sanayi, Banpu Infinergy, Itron


Kutahya Porselen Sanayi has reached an agreement to acquire Kiraz Enerji Yatirim Uretim ve Ticaret from Turkerler Insaat Turizm Madencilik Enerji Uretim Ticaret ve Sanayi for $10m.

All companies involved in the transaction are based in Turkey.

Kutahya Porselen Sanayi manufactures porcelain tableware, ceramic and glass decorative houseware, packaging materials, and floor and wall tiles, while Kiraz Enerji is a wind energy company.

Turkerler Insaat is engaged in the development of water treatment and distribution projects, as well as hydroelectric, wind, geothermal, and thermal power plants.

Banpu Infinergy has acquired a 25.7% stake in clean energy solutions provider Sunseap Group for S$75m ($55.7m).

Based in Singapore, Sunseap Group proposes to use the proceeds to develop solar projects across Asia.

Itron has reached an agreement to acquire Silver Spring Networks for $830m.

Itron will acquire all the outstanding shares of the company for $16.25 a share. It proposes to finance the transaction using a combination of cash and approximately $750m incremental new debt, which will be provided by Wells Fargo.

Based in San Jose, California, Silver Spring Networks is engaged in providing smart grid solutions offering energy efficiency products, smart grid networking, and AMI solutions.

Itron has engaged Centerview Partners and Credit Suisse as financial advisors, and Jones Day as the legal advisor for the transaction. Evercore Partners and Fenwick & West are acting as the financial advisor and legal advisor respectively to Silver Spring Networks.
