The deal to buy the 33% stake is thought to be valued at around €3.14bn ($3.31bn).
The wind farm is jointly owned by Vattenfall, Vestas and AIP Management.
The deal is expected to conclude in the third quarter of this year.
The Dutch government is due to announce the successful bidder later this year.
