Itron has reached an agreement to acquire Silver Spring Networks for $830m.

Itron will acquire all the outstanding shares of the company for $16.25 a share. It proposes to finance the transaction using a combination of cash and approximately $750m incremental new debt, which will be provided by Wells Fargo.

Based in San Jose, California, Silver Spring Networks is engaged in providing smart grid solutions offering energy efficiency products, smart grid networking, and AMI solutions.

Itron has engaged Centerview Partners and Credit Suisse as financial advisors, and Jones Day as the legal advisor for the transaction. Evercore Partners and Fenwick & West are acting as the financial advisor and legal advisor respectively to Silver Spring Networks.
